Terms and Conditions for Buying and Selling Goods at the Distillers Republic Online Store
- General Conditions
1.1. These terms and conditions for buying and selling goods (hereinafter referred to as “Terms”) outline the general conditions for the Distillers Republic online store www.distillersrepublicshop.com (hereinafter referred to as “Distillers Republic Store”). The Terms apply when the Buyer chooses, orders, and purchases goods offered by the Distillers Republic Store or uses any other services provided by the Distillers Republic Store in any other manner.
1.2. The Distillers Republic online store is a retail shop oriented towards consumers purchasing goods for personal, family, household needs, or for purposes unrelated to their economic or professional activities.
1.3. The sale of goods in the Distillers Republic online store is organized, fulfilled, and related services are provided to the Buyer by SIA Distillers Republic, legal address: Vecpilsētas iela 8a-8, LV-1050, Rīga, Latvia, registration no.: 40103783897, VAT payer code LV40103783897, retail license no. MT 00000013080. Goods sold in the Distillers Republic Store are owned by the Seller.
1.4. In these Terms, Buyers are individuals who shop at the Distillers Republic online store or use other services provided by the Distillers Republic online store. The right to use the Distillers Republic online store and shop there is granted to (a) legally capable individuals, i.e., persons who are of legal age and whose capacity to act is not restricted by a court judgment, and (b) legal entities represented by their executive bodies or authorized representatives, by registering at the Distillers Republic online store in accordance with the procedure specified in these Terms (hereinafter referred to as “Buyer”).
1.5. By placing an order, the Buyer confirms that they have the right to shop at the Distillers Republic online store, i.e., they meet the requirements of Clause 1.4 of these Terms.
1.6. Together with the Buyer’s submitted goods order, these Terms become a contract concluded between the Buyer and the Seller and are a legally binding document for both parties. The contract is considered concluded when the Buyer prepares and places an order for goods at the Distillers Republic online store, makes the payment in accordance with the Terms (if the Buyer has chosen to pay for the goods at the time of ordering), and the Seller sends a confirmation to the Buyer’s provided email that the Buyer’s order has been accepted. The contract remains valid until the obligations of both parties under this contract are fulfilled. If Latvian Republic regulations stipulate that certain goods can only be purchased by persons with such rights (e.g., alcohol can only be purchased by persons who are at least 18 years old), the contract between the Buyer and the Seller for the purchase and sale of such goods is considered concluded when the Seller (or its representative) verifies during the delivery of the goods that the Buyer (i.e., the person who ordered and paid for the goods) is entitled to purchase the ordered goods. If the Seller determines that the Buyer is not entitled to purchase the ordered goods, the contract for the sale of such goods is considered not concluded, the goods will not be sold to the Buyer, and the money paid for the goods will be refunded to the Buyer within 5 (five) working days from the planned delivery date. In such a case, the Seller has the right to deduct the delivery costs from the amount to be refunded to the Buyer. If the Buyer has not paid for the delivery of the goods in advance but the goods cannot be delivered due to the reasons mentioned above, the Buyer must pay the Seller the delivery costs, which amount to 5 EUR (five euros). The Buyer also has the right to unilaterally withdraw from the order before delivery by sending an email to the Seller at shop@distillersrepublic.com. In this case, the money paid by the Buyer for the order will be refunded to the Buyer’s account within 5 working days. However, if the delivery of the order has already started upon receiving the Buyer’s withdrawal, the Seller is entitled to deduct the delivery fee from the amount to be refunded to the Buyer.
1.7. The Buyer is not entitled to submit an order for goods at the Distillers Republic online store if they have not familiarized themselves with the Terms and/or do not agree to them. In cases where the Buyer does not agree to the Terms or any part thereof, they will not be able to order goods at the Distillers Republic online store. By ordering goods from the Distillers Republic online store, the Buyer is deemed to have familiarized themselves with and agreed to the Terms.
1.8. The Seller reserves the right to unilaterally amend, correct, or supplement the Terms. The Terms applicable to the Buyer while shopping at the Distillers Republic online store are those in effect at the time of submitting the order and published on the Distillers Republic online store, therefore, the Buyer should review the Terms each time they shop. If the Buyer places an order after the amended Terms have been published on the Distillers Republic online store, it is assumed that the Buyer is familiar with and agrees to the new amendments.
1.9. The Seller assumes no risk or responsibility and is to be fully relieved from it if the Buyer has not fully or partially familiarized themselves with the Terms, even though the opportunity was provided.
1.10. Considering Clause 1.2 of the Terms and aiming to primarily meet retail consumer needs, the Seller reserves the right to limit purchases with wholesale characteristics, i.e., the Seller has the right to refuse to accept and/or fulfill the Buyer’s order(s) by electronically informing the Buyer if the Buyer orders unusually large quantities of goods for retail (regardless of whether the goods are ordered in a single order or through several orders submitted within a relatively short period) and/or if the Buyer’s order(s) exhibit other wholesale purchasing characteristics.
1.11. In the event of significant circumstances, the Seller may temporarily or permanently cease the operation of the Distillers Republic online store without prior notice to the Buyer. In such cases, the Seller will refund the money paid by the Buyer for undelivered orders within 5 working days.
1.12. The Seller hereby informs, confirms, and guarantees to the Buyer that, as an intermediary, they are authorized to organize, fulfill the sale of goods owned by the Seller in the Distillers Republic online store, and provide the Buyer with other services related to the sale of goods, as stated in these Terms.
2. Prices, Payment Procedure, and Terms
2.1. The prices of goods in the Distillers Republic online store and in the created order are listed in Euros including VAT. Goods are sold to the Buyer at the prices effective at the time of order submission in the Distillers Republic online store.
2.2. The Buyer confirms their age via ID verification programm and that they are at least 18 years old.
2.3. The Buyer will pay for the goods:
2.3.1. At the time of placing the order, by non-cash payment (credit card or online bank transfer) if the goods are picked up on-site at the bar.
2.3.2. At the time of placing the order, by card or online bank payment if delivery is selected (Omniva courier service).
2.4. The Buyer will receive a confirmation by email or SMS regarding the receipt of the order and successful payment.
3. Product Assembly and Delivery
3.1. Sales through the Distillers Republic online store are conducted and goods are delivered throughout Latvia, Lithuania, and Estonia. The sales area is determined by a unilateral decision of the Seller. Goods are delivered by its authorized representative, SIA OMNIVA, SIA UPS.
3.2. A fee applies for the delivery service, as specified in the “Delivery” section of the Distillers Republic online store’s website and in effect at the time of the goods order. The delivery fee may be either fixed or based on the value of the goods ordered by the Buyer.
3.3. The Seller has the right to unilaterally determine the delivery fee and the minimum order amount, i.e., the minimum amount for which the Buyer must select and order goods from the Distillers Republic online store for the order to be fulfilled. The minimum order amount is indicated in the “Delivery” section of the Distillers Republic online store. The minimum order amount does not include the delivery fee.
3.4. The Seller will make every effort to fulfill the Buyer’s order in full but cannot provide and does not provide any guarantees. If there is no stock of the ordered goods or insufficient quantities at the order fulfillment location, the Seller reserves the right not to deliver the goods or to deliver a smaller quantity of goods.
3.5. If the Buyer has paid for the goods at the time of ordering, the money for the goods paid by the Buyer but not delivered by the Seller, as well as for similar goods returned by the Buyer during delivery, will be refunded to the Buyer’s account no later than 5 (five) working days from the delivery of the shipment.
3.6. The goods ordered by the Buyer will be delivered to the address specified by the Buyer in the Distillers Republic online store system. The Buyer is committed to receiving the goods personally within the chosen time slot. For clarity, it is specified that alcoholic beverages may only be received personally by the Buyer (individual). The Buyer is prohibited from transferring the shipment details to a third party. Upon receiving the order, the Buyer must present an identification document.
3.7. After successful payment, the Buyer will receive a confirmation email, and the ordered goods will be delivered to the Buyer within 5-9 days (in Latvia, Lithuania, and Estonia).
3.8. Delivery is scheduled between Monday – Saturday from 10:00-20:00, Sunday from 10:00-18:00.
3.9. Delivery is not performed Monday – Saturday between 20:00 and 10:00, Sunday 18:00-10:00.
3.10. In all cases, the Seller is relieved from responsibility for delivery delays if the goods are not delivered or are not delivered on time due to the Buyer’s fault or circumstances dependent on the Buyer.
3.11. If the Buyer notices during the receipt of the goods that the shipment does not contain the correct quantity of goods or the delivered goods do not match the ordered goods and this is not indicated on the invoice, delivery note, goods accompanying documents, or other shipment receipt documents, the Buyer must immediately (during the delivery of the goods) inform the Seller. If the Buyer finds that the delivered goods are of unsatisfactory quality, they should not accept the goods and must return them to the courier, noting the fact and reason for the return on the invoice, delivery note, or other shipment receipt or goods return document.
4. Product Quality Guarantee and Shelf Life
4.1. The general characteristics of all goods sold in the Distillers Republic online store are indicated in the product description for each item. The accuracy of the information about the product characteristics is the responsibility of the product manufacturers and/or distributors, but the Seller is only responsible for providing this information correctly to consumers, unless otherwise stipulated by regulations.
4.2. The Seller is not responsible if the goods in the Distillers Republic online store do not match the actual size, shape, or color of the products due to the color, shape, or other parameters of the Buyer’s screen (monitor) or other technical reasons, including reasonable discrepancies in the image.
4.3. Certain types of goods come with a manufacturer’s or Seller’s quality guarantee that is valid for a specified period. The exact terms and other conditions are indicated in the product descriptions and in the warranty cards (vouchers) issued with the goods.
4.4. If the manufacturer or Seller does not provide a quality guarantee for a specific type of goods, the guarantee provided by relevant regulations will apply.
4.5. When products have a specified shelf life according to regulations, the Seller commits to selling such goods to the Buyer in a manner that provides the Buyer with a real opportunity to use the products until their shelf life expires.
5. Right of Withdrawal. Exchange and Return of Goods
5.1. The exchange, return, and correction of goods are carried out in accordance with the Consumer Protection Law of the Republic of Latvia (CPL) and the Cabinet of Ministers Regulation No. 255 “On Distance Contracts.”
5.2. The customer has the right to withdraw from the ordered product within 14 days of receipt by sending a withdrawal letter to the Seller at shop@distillersrepublic.com The withdrawal form can be downloaded here: Withdrawal Form.
5.3. The product must be returned in its original packaging and complete set.
5.4. Goods can be exchanged for other items if the product maintains its external appearance, consumer qualities, original packaging, and labeling, and has not been used and/or damaged and/or lost its appearance.
5.5. The customer is obligated to return the product to the Seller within 5 days of sending the withdrawal letter. All costs associated with returning the product to the Seller are borne by the Buyer. The returned goods must be delivered to the following address: Vecpilsētas 8a-8, Riga, LV-1050, or as agreed with the Buyer and must be in complete set.
5.6. A refund is made using the same payment method that the customer used for the transaction. The Seller will refund the amount paid for the goods within 5 calendar days from the moment the product is returned. The Seller reserves the right not to refund the payment for the goods and services until the Customer has returned the product or provided documents confirming the shipment of the product.
5.7. The Seller reserves the right to refuse the customer’s right of withdrawal or to withhold compensation if the product is damaged, treated carelessly during use, if the instructions are not followed, if the original packaging of the product is lost, or if the packaging is significantly damaged.
6. Exchange of Information
6.1. The Seller sends all notifications and otherwise contacts the Buyer via the email address or phone number specified by the Buyer in their purchase form.
6.2. The Buyer sends all notifications and questions and otherwise contacts the Seller via email (shop@distillersrepublic.com) or phone (+371 29726236).
7. Order! Drive! Pick Up!
7.1. The goods ordered by the Buyer are prepared at the Distillers Republic bar located at Vecpilsētas 8a, Riga. The Buyer is responsible for picking up the goods at the order submission location during the chosen time period.
7.2. Upon arrival at the Distillers Republic bar, the Buyer should approach the bartender and provide their order number.
7.3. The Buyer pays for the goods through the online store.
7.4. No delivery fee is applied to the ordered goods.
7.5. If the Buyer has chosen to pick up the goods at the pickup location, the goods will be stored until the chosen time limit.
Customers can pick up their ordered goods: Monday – Saturday from 16:00 to 20:00, Sunday from 16:00-18:00
7.6. At the pickup location, goods are stored for the selected day and time interval.
7.7. When collecting the goods, the Buyer must present a valid identification document.
8. Final Provisions and Dispute Resolution
8.1. These Terms and Conditions are prepared in accordance with the regulations of the Republic of Latvia.
8.2. The legal norms of the Republic of Latvia apply to relationships arising under these Terms and Conditions.
8.3. In case of damages, the responsible party compensates the other party for damages in accordance with the regulations of the Republic of Latvia.
8.4. Any dispute arising between the Buyer and the Seller should be resolved through negotiation, with the parties striving to reach an agreement.
8.5. If a dispute between the Buyer (consumer) and the Seller cannot be resolved through negotiation, the Buyer (consumer) may submit a written complaint to the Seller (an electronically submitted complaint does not require a signature), which should include:
- The Buyer’s name, surname, residential address, and contact information;
- The date of the complaint submission;
- The nature of the dispute, the Buyer’s claim, and its justification.
8.6. The complaint should include copies of documents evidencing the transaction, as well as other supporting documents (if available).
8.7. The Seller must provide a written response to the Buyer (consumer) within 15 working days of receiving the complaint, informing about the possible method of fulfilling the claim or resolving the dispute if an agreement on fulfilling the consumer’s claim or an alternative method of claim fulfillment has not been reached during this period. If, due to objective reasons, it is not possible to provide a response within the specified term, the Seller must immediately inform the consumer in writing, indicating a reasonable term for providing the response and justifying the need for such an extension.
8.8. If the Seller believes that the Buyer’s (consumer’s) claim is unjustified or is willing to offer the consumer another dispute resolution, they must inform the consumer in writing within the term specified in Clause 8.7. The Seller is required to provide a justification for rejecting the consumer’s claim.
8.9. If the Buyer’s (consumer’s) issue is resolved to their satisfaction with the solution offered by the Seller, the dispute is considered resolved.
8.10. If the Seller does not respond to the Buyer’s (consumer’s) complaint within the term specified in Clause 8.7, it is deemed that the Seller refuses to fulfill the consumer’s claim.
8.11. If the Seller refuses to fulfill the Buyer’s (consumer’s) claim or if the consumer is not satisfied with the Seller’s proposed solution, the consumer has the right to contact:
- The Consumer Rights Protection Centre for assistance in dispute resolution;
- The Consumer Dispute Resolution Commission, website: http://www.ptac.gov.lv/lv/content/pateretaju-stridu-risinasanas-komisija-0, which resolves disputes in the field where the Intermediary operates; or using the platform https://ec.europa.eu/consumers/odr/main/index.cfm?event=main.home.chooselanguage
- The Consumer Dispute Resolution Commission if the assistance provided by the Consumer Rights Protection Centre does not result in a resolution, and if it is possible to convene the Consumer Dispute Resolution Commission for dispute examination;
- The court.
